The Opportunity:
OpenText is seeking a Corporate Counsel to join our in-house Corporate Legal team. In this capacity, the Corporate Counsel will be responsible for providing advice and guidance for corporate, capital markets, securities, public company reporting and compliance, and corporate governance matters, and will support the legal team in other areas including M&A transactions, public communications, and other corporate matters. The role is also one of trusted legal advisor, working with cross-functional groups (including Controllership, Tax, Human Resources, Treasury, Investor Relations and Communications) and assisting on corporate transactions as required.
You Are Great At:
- Manage Canadian and U.S. securities law and stock exchange reporting and compliance, including drafting and reviewing periodic reports, news releases and investor presentations.
- Assist in planning and organizing annual general meetings of shareholders and other special meetings, as necessary, and drafting of meeting materials.
- Provide advice, make recommendations, and develop policies and procedures relating to disclosure obligations and corporate compliance for a cross-border public company.
- Provide corporate governance support, including preparing corporate resolutions and assisting in preparation of Board materials.
- Advise on insider reporting obligations, including associated SEDI filings, and the company’s insider trading policy.
- Support the company’s equity and other compensation programs.
- Facilitate capital markets and financing activities.
- Assist with the corporate governance requirements for OpenText and its various subsidiary companies in multiple jurisdictions, including corporate records, resolutions, bylaws and powers of attorney.
- Manage the data verification process with ISS, Glass Lewis and other applicable third-party agencies.
- Draft, review, negotiate and execute corporate and other agreements, including NDA/confidentiality and corporate guarantees.
- Advising and assisting on corporate transactions as required, including mergers and acquisitions and intercompany matters.
- Directing external legal counsel on corporate and litigation matters.
- Contribute to preparing budgets and ongoing monitoring of costs.
- Provide project management and general legal day-to-day support to the company as needed.
What It Takes:
- Licensed and in good standing to practice law in a jurisdiction in Canada and/or U.S.
- Minimum five years of experience working in a public company or top-tier law firm handling corporate matters.
- Experience in supporting capital markets and financing initiatives.
- Demonstrated ability to lead, manage and coordinate legal aspects of complex transactions involving numerous disciplines and participants.
- Proven strong interpersonal skills to influence others, work with all levels of management, establish trust, and gain the confidence of others in the organization.
- Superior organizational and multi-tasking skills.
- Resourcefulness and the ability to establish and focus on key priorities while taking a hands-on approach to managing issues and delivering legal services.
- Strong verbal and written communication skills.
- A collaborative work style and easy-going personality.
- Ability to provide practical advice, analyze risk and promote business decisions which are sensitive to the business environment.
- Working effectively and pragmatically in a fast-paced environment.
